| How
to trade on-line / Opening your account |
|
In order to trade on-line
you must first open an account with us. Simply go to http://www.wallstreete.com,
click on the Open Account option from the Menu, and
choose one of four ways available to open an account:

Apply Online -Fill
out the on-line application form.

Download the applications:
Download, print, and fill out the application forms needed for the
particular type of account you are opening.

Apply by E-mail
-Request for the application forms by sending us your name
and address by e-mail (please include the type of account you
wish to open and any other forms you may need IRA forms, Account
Transfer Forms, etc. ) to: :new

Apply by Mail - Fill
out the on-line form at https://www2.wallstreete.com/allaccounts.htm
and we will send you all the necessary application forms by
regular mail.
Please complete all forms,
attach check, money order, and/or account transfer form (include
latest monthly statement), and mail package to:

Once we receive your forms
we will begin processing your account. To avoid any
delays, please make sure to send all signed original documentation pertaining
to the type of account you wish to open as well as the signed customer

| DEPOSITING
FUNDS / SECURITIES |
|
You need a minimum of
$5,000.00 in cash or securities to open an account.
Funds can be deposited by check, money order, wire transfer, or by ACAT
form (for transfer of securities).
If you are initially
depositing a check, make the check payable to WallStreet
Electronica.
There are several steps you
need to follow if you would like to wire/transfer funds into
your account:

Complete and mail (or
fax) the new account application to us with a new account number.
You may obtain a new account number by calling our new accounts
department at 1-888-925-5783 or if you are outside U.S. territory
you may call collect at 305-669-3026. Please note:
It is important that you have a NEW ACCOUNT NUMBER BEFORE
YOU WIRE THE FUNDS.

Once you have obtained
your new account number and mailed (or faxed) the new account
application form, complete the instructions for transferring
funds. Indicate the US$ amount of the transfer, your name, and
new account number on the lines provided and submit the form
to your transferring agent (your bank, brokerage firm, etc.).
For wire transfers within the US, allow 1-2 business days. Transfers
coming in from outside the US, please allow 3-4 business days.

If you are opening an
"All in One" Account, please make sure you complete and
sign your Investor Money Management application form and
send it together with all the other forms.

If you are transferring
your account from another firm (whether it is an IRA, TRUST, 401K,
etc.) please mail in the new account application, cash/margin agreement,
ACAT form and attach a copy of your last account statement.

| HOW
DOES ONLINE TRADING WORK? |
|
Once we have received all
the necessary forms to open your account together with your check, wired
funds, or ACAT form, our new accounts department will contact you and
provide you with a user name and password to access your WallStreetE
account. For those who would like a personal demo, we will arrange an
appointment to help you familiarize yourself with our system and walk
you through the trading demonstration.
You have access to your WallStreetE
account 24 hrs. a day, 7 days a week. Your account is set up in the
same way a bank account is set up with debits and credits. Funds available
is what is available in your account. Buying power is the sum of funds
that you can use to purchase securities (margin accounts).
When you buy and sell securities
in your account, you will automatically be debited or credited accordingly.
The new balance will not appear until the following business day. You
may view the status of your current orders under "order status".
You may view the positions in your account under "account holdings".
Confirmation of executed
trades will be displayed in your "account mailbox news" and
"order status". Confirmation statements will be sent directly
to your address on the next business day following the trade date. Monthly
statements will also be mailed out to you at the end of every month.

| PLACING
ORDERS THROUGH WallStreetE |
|
Whether you are a beginner,
sophisticated investor, or a financial advisor WallStreetE will
empower you to become your own stock broker, offering you direct access
to information that will allow you to formulate, monitor, and directly
execute your own strategies over the Internet or by phone!
To place a trade over the
Internet you must first access your account. Do this by clicking on
the customer log on icon displayed on the home page. Once the
customer log on page is displayed, enter your user ID and password (Advisors,
Brokers, and Institutions click on Institutional Log on).
The first page that appears
is the money line for your account. This page will provide you with
basic information of the funds in your account, most importantly
funds available and buying power (margin accounts). On the left
menu, scroll down to Orders and select the type of
order you wish to place; stocks, options, bonds, or mutual fund
orders. An order ticket will appear.

How to access from the WallStreetE
Web site
- Log into your account.
- Click on the Bond Order Entry
from the Menu.
- Complete order ticket and carefully review
it before placing the order.
Complete order ticket
Transaction: select
whether you want to buy, sell, or short sell (only
available for financial institutions) the security
Order Quantity:
enter the number of shares.
Stock Symbol:
enter the symbol of the stock you are purchasing or selling. If
you are unsure of the stock symbol please contact our help desk
at 1-888-925-5783 within the US If you are outside the US
you can call collect at 305-669-3026.
Price: indicate
whether this will be a:
- Market Order: To buy or sell a
stock at the market's current best price
- Limit Order: To buy or sell the
stated amount of a security at a specified price or at a better price.
- Stop Order: To buy at
a price above or sell at a price below the current market.
Time in Forced: select
the time in forced:
- Good for the day (DAY): Good throughout
the day. Will be automatically canceled at the end of the day.
- Good until canceled (GTC): Good
until you cancel or change the order.
- Execute at opening (OPG): Order
will be executed at the next days opening.
All or None:
check this box if you do not want a partial execution of your order.
Check Order:
click on this icon to review your order.
Place Order:
once you have carefully reviewed your order, click on this icon to place
your order.

How to access from
the WallStreetE Web site
- Log into
your account.
- Click on the Option
Order Entry from the Menu
- Complete order ticket
and carefully review it before placing the order.
Completing the order ticket
Transaction: select whether
you want to buy, sell, or short sell (only available
for financial institutions) the option.
Order Quantity:
enter the number of contracts for the transaction.
Symbol: enter option symbol (three-letter
option symbol for stock). If you are unsure of the stock symbol
please contact our help desk at 1-888-925-5783 within the
US If you are outside the US you can call collect at 305-669-3026.
Month:
enter month of option expiration.
Strike Price:
enter strike price.
Call/Put:
choose whether it is a call or put.
Open/Close:
enter if it is an opening or closing transaction.
Price: indicate
whether this will be a:
- Market Order: To buy or sell at
the market's current best price.
- Limit Order: To buy or sell at
a specified price or at a better price.
Time in Forced: select
the time in forced:
- Good for the day (DAY): Good throughout

How to access from
the WallStreetE Web site
- Log into
your account.
- Click on the Bond
Order Entry from the Menu.
- Complete
order ticket and carefully review it before placing the order.
Complete order ticket
Transaction: select whether
you want to buy, sell, or short sell (only available
for financial institutions) the security.
Order Quantity:
enter dollar value of fixed income security ($100M, $50M).
Bond Cusip:
enter the cusip number of the bond you are purchasing. If you are
unsure of the cusip number please contact our help desk at 1-888-925-5783
within the US If you are outside the US you can call collect at
305-669-3026.
Price: indicate
whether this will be a:
- Market Order: To buy or sell at
the market's current best price.
- Limit Order: To buy or sell at
a specified price or at a better price
Time in Forced: select
the time in forced:

Good throughout the day. Will be automatically canceled at the end
of the day.

| PLACING
PHONE ORDERS |
|
WallStreetE
also gives you the
option to place orders by phone through a live broker. To place
your order call 1-888-925-5783 if you are in the US or call
collect 305-669-3026 if you are outside US There is an $
8.00 surcharge for orders placed through a live representative.
The $ 8.00 surcharge does not apply in case you are having problems
with placing the order through the system.

| Entering
orders when the markets are closed |
|
WallStreetE
accepts orders at any time. All the orders entered when the market is
closed are queued for execution in the next day when the
market opens.

| Verifying
the Order Status |
|
Click on the Order
Status option from the Menu.
A view containing the status
of your intraday orders will appear on the right side of the
Menu. Once you place an order the status becomes Order Being
Verified. Thereafter it changes to Order Being Processed.
Once the order is executed the status changes to Executed. If
the status of any order placed during market hours remains Order
Being Verified for more than 5 minutes, please call our trading
desk at 1-888-925-5783. For orders placed after market hours
the status will remain Order Being Verified until the next day
the market opens.

| Changing an Order |
|
Click on the
Order Status option from the Menu.
Go to the order that you
want to change in the displayed table.
Click on the Change
option.
Update and Review the information
carefully, and then click on the Change Order Button to Change
the Order. Changes for the opening must be placed by 9:15 AM. All orders
(including the stocks that are in fast market, and orders at opening
entered after 9:15 AM) are handled on a best effort basis.
The status of the order will
first change to Attempt for Change, and then if the change was
successful the status will change to Order Being Verified.

| Canceling an
Order |
|
Click on the Order
Status option from the Menu.
Go to the order that you
want to change in the displayed table.
Click on the Cancel
option.
The status of the order will
first change to Attempt for Cancellation, and then if the cancellation
was successful the status will change to Order Canceled Successfully.

| Execution
Notification |
|
You can confirm your trade
has been executed two ways:
Click on the Order
Status option from the Menu.
Go to the transaction you
want to review.
If the trade was executed,
the status will be Executed, and it will also display the execution
price.
Click on the Mailbox option
from the Menu.
There will be a message entry
for each execution, cancellation, or any other important activity that
took place in your account.
In addition, all customers
are mailed a hard-copy confirmation of a trade execution within 24 hours.
Monthly statements will also be mailed out to customers at the end of
every month.

Info |
|
Money
line
Money line consists of five sections that provide
you with basic information about your account: Account Value, Balances,
Cash Available, Buying Power, Margin Calls, and Money Market Fund
Activity. Money line is based on the closing of previous day and
is updated on a daily basis before 8:30 a.m. Intra-day executions
are not reflected in the money line until the next opening.
Account
Holdings
Account Holdings lists the holdings in your account as of yesterday's
close. All positions in your account (stocks, options, bonds, mutual
funds, etc.) are displayed here. For holdings that you own as a result
of intra-day trades, please check the order status.
Unrealized
stocks
Unrealized Stocks displays the unrealized profit and loss of your stock
holdings based on the bid and ask of the stock. PNL is based on 15-minute
delayed quotes. Real-time calculations are available at an extra charge.
Please note that intra-day trades are not listed here. For holdings
that you own as a result of intra-day trades, please check the order
status.
Unrealized
Options
Unrealized Options shows the unrealized profit and loss
of your option holdings based on the bid and ask of the option. PNL
is based on 15-minute delayed quotes. Real-time calculations are available
at an extra charge. Please note that intra-day trades are not listed
here. For holdings that you own as a result of intra-day trades, please
check the order status.
Mailbox
Mailbox contains all the mail regarding your account.
Executions, cancellations, news, etc. regarding intra-day orders is
available here. Please do not use this mailbox as a legal confirmation
of executions. A copy of confirmations for your records will be mailed
out to you.
Realized
Trades
Realized Trades calculates your realized profit/loss on closed transactions
only. You can only obtain a realized profit and loss if you bought and
sold the security (For short sellers: If you sold and bought the security).
Profit/Loss is calculated after deducting the commissions. This screen
is updated on a daily base.
Error
file
Error File lists all transactions in your account that are partial executions,
possible errors, transactions that are being canceled and rebilled,
or pending transactions that have not been adjusted for realized or
unrealized Profit/Loss. A canceled transaction in error file may appear
more than once. If a trade appears in the error file for more than three
business days please contact the customer service support desk at 1-888-925-5783.

Stock
Order Enter
Stock Order Entry allows you to place a stock order.
Option Order
Entry
Option Order Entry allows you to place an option order.
Bond Order
Bond Order entry allows you to place a bond order.
Order Status
Order Status contains the status of your intra-day orders.
Once you place an order the status becomes Order Being Verified.
Thereafter it changes to Order Being Processed. Once the order
is executed the status changes to Executed. If the status of
any order placed during market hours remains Order Being Verified
for more than 5 minutes, please call our trading desk at 1-888-925-5783.
For orders placed after market hours the status will remain Order
Being Verified until the market opens.
For orders that are being
canceled the status changes to Order Being Canceled. This
however does not indicate that the order has been canceled. Once the
order has been successfully canceled, the order changes to Order
Canceled Successfully.

being canceled during market hours remains Order Being Canceled
for more than 5 minutes, please call our trading desk at 1-888-925-5783.
For orders canceled after market hours the status will remain Order
Being Canceled until the market opens.
Latest
Trades
Latest Trades contains a list of all the trades executed,
canceled, or rebilled on the previous business day. Latest trades are
updated every day at the market opening.

All
Account Activity
All Account Activity displays account activity that has
taken place in your account. The activity is listed with the latest
transaction first. This screen enables you to view all the recent account
activity that has taken place in your account within the dates specified
(inclusive). The activity can be filtered by using a keyword that may
appear in the description field. The activity is listed in ascending
order.
Credits
Credits displays the recent interest credited to the account. The activity
is listed with the latest transaction first.
Debits
Debits displays the recent interest debited to the account. The activity
is listed with the latest transaction first.
Trade
Transactions
Trade Transactions displays the recent trade transactions which has
taken place in your account. The transactions are listed with the latest
transaction first.
Dividends
Dividends displays the recent dividends received
in this account from the stocks that you own. The activity is listed
with the latest transaction first
Checks
display the recent checking activity in your account. Checks received
as marked as CHECK RECEIVED in the description field.
The transactions are listed with the latest transaction first.
Credit
Card
Credit Card displays the recent credit card activity in your PRO-CASH
Account (includes charges and ATM transactions). The transactions are
listed with the latest transaction first.
